Shandong Ji Hai medical Polytron Technologies Inc (hereinafter referred to as "our company") the 2011 annual shareholders meeting was convened by the board of directors in June 25, 2012, chaired by Chairman Hu Qingguo, and held in the Mount Huangshan hall in the seven floor of the Zibo hotel.

The meeting should be 76 shareholders, 38 shareholders, 25 million 866 thousand shares, accounting for 85.2% of the total shares of the company, and no increase, veto or change of the proposal. The meeting is held in accordance with the provisions of the People's Republic of China company law and the articles of association.

The meeting carefully considered the agenda of the meeting listed in the notice of the meeting by voting and deliberated and adopted the following motion:

(1) the annual report of Shandong Ji Hai medical Polytron Technologies Inc 2011 was considered and adopted.

(2) passed the report on the work of the board of directors of the Shandong Ji Hai medical Polytron Technologies Inc in 2011.

(3) the report on the work of the board of supervisors of the Shandong Ji Hai medical Polytron Technologies Inc in 2011 was deliberated and adopted.

(4) the financial statements of Shandong Ji Hai medical Polytron Technologies Inc in 2011 were considered and passed.

(5) the motion adopted by the Shandong Ji Hai medical Polytron Technologies Inc to apply for withdrawal from the stock exchange was deliberated and adopted.
